CLARITY DESIGN CO – TERMS OF SERVICE

1. ACCEPTANCE OF TERMS

By purchasing services from Clarity Design Co (“we,” “us,” or “our”), you (“Client,” “you,” or “your”) agree to these Terms of Service. If you do not agree, please do not proceed with payment or service engagement.


 

2. SERVICES PROVIDED

Clarity Design Co provides professional website design, development, branding, and digital marketing services specifically for therapists and mental health professionals.

Services include:

  • Custom website design and development
  • Website redesign and updates
  • SEO optimization
  • Branding and visual identity design
  • Website copywriting
  • Ongoing maintenance and support

 

3. SERVICE AGREEMENT

3.1 Scope of Work

The specific services, deliverables, timeline, and pricing will be outlined in a separate project proposal or service agreement provided before work begins.

3.2 Project Timeline

Standard project delivery is 2-5 weeks depending on project scope. Timeline may be extended due to:

  • Client delays in providing feedback or materials
  • Scope changes requested by Client
  • Force majeure events beyond our control

3.3 Client Responsibilities

Client agrees to provide:

  • Timely feedback on designs and drafts (within 7 business days)
  • All necessary content, images, and materials
  • Access to hosting, domain, and relevant accounts when applicable
  • Clear communication regarding project requirements

 

4. PAYMENT TERMS

4.1 Pricing

All prices are quoted in USD unless otherwise specified. Prices are subject to change for future projects but will be honored for current quoted projects.

4.2 Payment Schedule

Payment terms vary by project and will be specified in your project proposal. Common structures include:

  • Milestone payments (e.g., 40% upfront, 30% mid-project, 30% completion)
  • Monthly payment plans
  • Full payment upfront for smaller projects

4.3 Late Payments

Late payments may result in project work being paused until payment is received. Late fees may apply.

4.4 Third-Party Costs

Client is responsible for third-party costs including but not limited to: domain registration, hosting fees, premium plugins, stock images, and any other external services required for the project.


 

5. REVISIONS AND CHANGES

5.1 Included Revisions

Each project includes a specified number of revision rounds (typically 6 rounds). Additional revisions beyond the included amount will incur additional fees.

5.2 Scope Changes

Significant changes to the original project scope will be quoted separately and may require a new agreement or change order.


 

6. INTELLECTUAL PROPERTY

6.1 Ownership

Upon full and final payment, all custom work created specifically for your project (design, code, graphics) transfers to Client ownership.

6.2 Third-Party Elements

The website may include third-party elements (WordPress core, plugins, themes, fonts, stock images) that remain under their respective licenses. Client is responsible for maintaining valid licenses for these elements.

6.3 Portfolio Usage

We reserve the right to display completed work in our portfolio, social media, and marketing materials unless Client requests confidentiality in writing.


 

7. REFUNDS AND CANCELLATIONS

7.1 Cancellation Policy

Projects may be cancelled within the first week for a 50% refund of payments made. After the first week, refunds are calculated based on work completed and expenses incurred.

7.2 Refund Calculation

If approved, refunds are calculated as:

  • Total Paid – Work Completed – Expenses Incurred = Refund Amount

7.3 Post-Completion

No refunds are provided after project completion and final delivery.


 

8. WARRANTIES AND DISCLAIMERS

8.1 Service Warranty

We warrant that services will be performed professionally and competently. We will correct any defects in workmanship for 30 days after project completion at no additional charge.

8.2 Website Security

Client acknowledges that no website is 100% secure from hacking, malware, or other security threats. Client is responsible for website security after launch, including updates, backups, and security measures.

8.3 No Guarantee of Results

We do not guarantee specific search engine rankings, traffic volumes, conversion rates, or business outcomes. Results depend on many factors outside our control.

8.4 Third-Party Services

We are not responsible for failures, outages, or issues with third-party services (hosting providers, email services, payment processors, etc.).


 

9. LIMITATION OF LIABILITY

9.1 Maximum Liability

Our total liability for any claim arising from services provided shall not exceed the total amount paid by Client for the specific project in question.

9.2 Consequential Damages

We are not liable for indirect, incidental, consequential, or punitive damages including lost profits, lost revenue, lost data, or business interruption.


 

10. CONFIDENTIALITY

We agree to keep all Client information confidential, including business plans, financial information, client data, and proprietary information. This obligation continues after project completion.

For therapy clients: We will never request, store, or access patient/client health information (HIPAA compliance).


 

11. TERMINATION

Either party may terminate the agreement with written notice. Upon termination:

  • Client pays for all work completed to date
  • We deliver all completed work
  • All outstanding payments become due immediately

 

12. DISPUTE RESOLUTION

12.1 Governing Law

These Terms are governed by the laws of the Client’s jurisdiction.

12.2 Good Faith Resolution

Both parties agree to attempt good faith negotiation before pursuing legal action or arbitration.


 

13. GENERAL PROVISIONS

13.1 Entire Agreement

These Terms, together with the project proposal/agreement, constitute the entire agreement between the parties.

13.2 Modifications

We may update these Terms from time to time. Continued use of services after changes constitutes acceptance of modified Terms.

13.3 Severability

If any provision is found invalid or unenforceable, the remaining provisions remain in full effect.

13.4 Assignment

We may assign or delegate our obligations. Client may not assign without our written consent.
